Terms of service
1. Acceptance of these terms
These terms are an agreement between you (or the business you represent) and ThreadWave (“ThreadWave”, “we”, “us”). By installing or using the ThreadWave desktop app, its relay service or threadwave.io (together, the “Service”), you agree to these terms and to our privacy policy. If you use the Service on behalf of a business, you confirm you are authorised to accept these terms for it.
2. The service
ThreadWave is a desktop application that lets you and your team manage customer messages and calls from WhatsApp Business, Facebook Messenger, Twilio and Telnyx, together with a relay service that forwards new events from those platforms to your app. Features may change over time. Some features may be offered as early access or beta, and may be changed or withdrawn.
3. Your account and team
- You must be at least 18 years old and use the Service for business purposes.
- You are responsible for the accounts and credentials you connect, for keeping your relay token and app lock password secure, and for everything done under your account, including by teammates you invite.
- Tell us promptly at support@threadwave.io if you believe your account has been compromised.
4. Third-party platforms
The Service works with platforms we don’t control, including Meta (WhatsApp Business Platform and Messenger Platform), Twilio, Telnyx and Cloudflare. Your use of those platforms is governed by your own agreements with them, including the WhatsApp Business Terms of Service and Business Messaging Policy, Meta’s Platform Terms, and the terms of Twilio and Telnyx. Any fees those platforms charge (for example, Meta’s conversation or message charges, or call charges) are between you and them. If a platform changes or limits its service, features of ThreadWave that depend on it may change or stop working.
5. Acceptable use
You agree not to use the Service to:
- send spam or unsolicited messages, or message people without the opt-in or permission the platforms and law require;
- send unlawful, harmful, fraudulent, deceptive, harassing or infringing content;
- violate the policies of WhatsApp, Messenger, Twilio, Telnyx or any other connected platform;
- interfere with, overload, reverse engineer or attempt to gain unauthorised access to the Service or the relay; or
- resell or provide the Service to third parties without our written permission.
We may suspend access that we reasonably believe breaks these rules or puts the Service or others at risk.
6. Call recording, transcription and consent
Call recording and transcription are optional. If you turn them on, you are responsible for complying with all laws that apply to recording and transcribing calls, including informing participants and obtaining consent where required. Platform announcements (such as WhatsApp’s recording notice) may not by themselves satisfy every legal requirement.
7. Your data
You own your data and your customers’ data. Conversations are stored on your computer; the relay only passes new events through and deletes them once your app confirms receipt, as described in our privacy policy. You are responsible for backing up your computer and for meeting your own legal obligations towards your customers, including any privacy notices you must give them. You give us permission to process the limited data that passes through the relay only to provide the Service.
8. License and intellectual property
We grant you a limited, non-exclusive, non-transferable, revocable license to install and use the ThreadWave app for your internal business purposes while these terms are in effect. ThreadWave, its software, design and brand belong to us and our licensors. You may not copy, modify, distribute or create derivative works of the app except as allowed by law. If you send us feedback, we may use it without obligation to you.
9. Fees
Access may be provided free of charge during early access. If we introduce paid plans, we will show prices and billing terms before you are charged, and you can choose whether to continue. Platform charges from Meta, Twilio or Telnyx are separate and billed by them.
10. Disclaimers
The Service is provided “as is” and “as available”. To the extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We don’t guarantee that the Service will be uninterrupted or error-free, or that every message or call event will be delivered, especially when a connected platform or your internet connection is unavailable.
11. Limitation of liability
To the extent permitted by law, we will not be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or business opportunities. Our total liability for any claim relating to the Service is limited to the amount you paid us for the Service in the 12 months before the claim, or USD 100 if you paid nothing. Nothing in these terms limits liability that cannot be limited by law.
You agree to indemnify us against claims arising from your content, your messages and calls, or your breach of these terms or of a connected platform’s policies.
12. Termination
You can stop using the Service at any time by disconnecting your channels and uninstalling the app. We may suspend or end access if you breach these terms, if required by law, or if a platform requires us to. When access ends, we delete the connection and team settings held by our relay; data on your computer remains under your control. See our data deletion page.
13. Governing law and changes
These terms are governed by the laws of Pakistan, and disputes will be handled by the competent courts there, unless the law where you live requires otherwise. We may update these terms; we’ll post the new version here with a new “last updated” date and notify you of significant changes. Continuing to use the Service after changes take effect means you accept them.
